Organizational Structure
To respond fully to the needs of the business the following organizational structure has been adopted:
Marco Polo Holding & Trading Co. Inc. – A privately held corporation based in New York, currently doing business as Monte Lauro Vineyards in France, the US and Canada. Primarily responsible for market development, promotion, advertising, and sales in North America for Micro-Leases attached to the vineyards of La Ferme Montlaur through Monte Lauro Vineyards, as well as sales of the portfolio of wines represented by Dancing Bear Cellars, the company that also imports Monte Lauro Vineyard wines. Additional responsibilities include all administrative efforts with respect to finances, accounting, billing, transfer-pricing arrangements, payroll etc. They will also have responsibility for Micro-Lease Holder relations in North America and the power to resolve issues and disputes as they deem appropriate.
The company is currently closely held with the principal shareowner being Michael C. Belanger. There is provision in the administration of the company for the selling and/or granting of up to 40% of the common stock of the company to other investors or key employees.
MARCO POLO HOLDING COMPANY
J. de Montlaur – A French individual holding right and title to assets that will be used by Monte Lauro Vineyards in the execution of their business plan. Primarily responsible for hands-on operation of the vineyard, contracts with suppliers relating to operation of the vineyard and the production and shipping of wine, direct management of capital improvement projects in association with architects, engineers and the Beaux Arts, although these may be delegated if they are of a sufficient customer-servicing nature. Also responsible for providing services and personnel as required to support the Micro-Lease Holder relations functions in France. |
